Terms of Service

These Terms of Service (“Terms”) are a contract between you and ShippingOS, Inc. (“ShippingOS,” “we,” “us”) governing your use of our shipping and fulfillment platform and related services (the “Service”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & accounts

You must be at least 18 and able to form a binding contract, and you use the Service for business purposes. You are responsible for your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

ShippingOS lets you import orders, compare carrier rates, purchase and print shipping labels, track shipments, and manage lightweight inventory. We are not a carrier; carriage of your packages is performed by third-party carriers under their own terms, and delivery times and outcomes are their responsibility.

3. Fees, postage & payment

• The core software is offered free as described on our pricing page. Optional paid tiers and a small per-label fee may apply when you purchase postage.
• You authorize us and our payment processors to charge your payment method for postage, fees, and any applicable taxes. Postage purchases are generally final once a label is generated; refunds for unused labels follow carrier rules.
• You are responsible for accurate package details. Carriers may bill adjustments (for example, for incorrect weight or dimensions), and you authorize us to pass those adjustments through to you.

4. Acceptable use

You agree not to:

• Ship items prohibited or restricted by applicable law or by the carrier.
• Provide false shipment information or evade carrier or customs requirements.
• Use the Service to infringe rights, transmit malware, or breach security.
• Resell, scrape, reverse engineer, or overload the Service or its API.
• Use the Service for unlawful, fraudulent, or deceptive purposes.

5. Your content & data

You retain ownership of the order, recipient, and inventory data you submit. You grant us a license to process it solely to provide and improve the Service, as described in our Privacy Policy. You represent that you have the rights and any required consents to share recipient information with us and the relevant carriers.

6. Third-party services

The Service integrates with carriers, sales channels, and payment processors. Your use of those third parties is governed by their own terms, and we are not responsible for their acts or omissions.

7. Intellectual property

We and our licensors own the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. Carrier and marketplace names and logos are the trademarks of their respective owners.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RATES SHOWN WILL ALWAYS BE AVAILABLE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPPINGOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US (EXCLUSIVE OF POSTAGE) IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your shipments, your content, your breach of these Terms, or your violation of law or third-party rights.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. The courts located there will have jurisdiction, except where applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the effective date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
